SHGEYESHIP NON-EXCLUSIVE MOVIE TRACK LICENSING AGREEMENT
 
This Non-Exclusive License Agreement ("Agreement") is entered into between Shgeyeship ("Licensor") and the purchasing party("Licensee") upon purchase of a Movie Track. By purchasing and downloading the Movie Track, Licensee agrees to the terms below. 
 
1. GRANT OF LICENSE 
Licensor grants Licensee a non-exclusive, non-transferable license to use the purchased Movie Track for the creation of one (1) new origanal musical composition  ("New Song"). Ownership underlying Movie Track remains solely with Licensor at all times.
 
2. LICENSE TEIRS  
 
STANDARD LICENSE – $100
  • MP3 file 
  • Up to 50,000 total streams
  • One (1) music video permitted
  • Non-exclusive rights 
 
PRO LICENSE – $200 
  • WAV file 
  • Up to 250,000 total streams 
  • Two (2) music videos permitted 
  • Monetized distribution permitted 
  • Non-exclusive rights 
 
 ELITE LICENSE – $400 
  • WAV files plus stems 
  • Up to 500,000 total streams
  •  Live performance rights permitted
  •  Non-exclusive rights 
 
Stream counts exceeding caps require license upgrade 
 
3. PUBLISHING & ROYALTIES  
The underlying composition of the Movie Track is owned by Licensor. For any new song created using the Movie Track, publishing shall be split as follows: 50% Writer/Publisher - Shgeyeship; 50% Writer - Licensee. 
Licensor retains full ownership of the instrumental composition. 
 
4. RESTRICTIONS
 Licensee may NOT:  
  • Register the Movie Track or New Song in any Content ID system (including You Tube Content ID) 
  • Resale, redistribute, sublicense, or share the Movie Track 
  • Claim ownership of the instrumental composition 
  •  Use the Movie Track for unlawful or defamatory purposes 
  • Transfer this license to another party 
 
Non-exclusive licenses do not grant exclusive ownership or removal from sale. 
 
5. CREDIT REQUIREMENT 
Licensee must provide clear production credit in all public releases: "Produced by Pyrit". 
Failure to provide credit constitutes breach of this Agreement.
 
 6. EXCLUSIVE RIGHTS  
Exclusive rights must be negotiated separately in writing. 
Upon execution of an exclusive agreement, the Movie Track will be removed from public sale and additional terms will apply. 
 
7. TERMINATION 
Failure to comply with any terms of this Agreement results in automatic termination of license rights. 
License reserves  the right to pursue legal remedies if necessary. 
 
8. GOVERNING LAW 
This Agreement shall be governed under the laws of the State of Georgia, United States.
